Governing the purchase of Cereb products and services

1. Definitions

  • "Agreement" means these Sales Terms and Conditions together with any Order Form or Statement of Work.
  • "Customer" or "you" means the entity or individual purchasing Services from Cereb.
  • "Services" means the Cereb AI + IoT platform subscription, tailor-made frontend development, and any add-on services.
  • "Platform" means the Cereb AI + IoT enablement platform and associated software.

2. Orders and Acceptance

2.1. All orders for Services must be submitted through our website ordering system or by signing an Order Form provided by Cereb.

2.2. An order becomes binding when Cereb issues a written confirmation or when payment is successfully processed.

2.3. Cereb reserves the right to refuse or cancel any order at its sole discretion, with a full refund of any amounts paid.

3. Pricing and Payment

3.1. All prices are quoted in US Dollars (USD) unless otherwise specified. Hong Kong Dollar (HKD) pricing may be made available upon request.

3.2. Platform subscription fees are billed monthly in advance. Annual subscriptions are billed annually in advance.

3.3. Tailor-made frontend development requires a non-refundable deposit of USD $500 to commence the design process. This deposit is credited toward the final project cost.

3.4. Payment is due within 14 days of invoice date unless otherwise agreed in writing.

4. Subscription Terms

4.1. Platform subscriptions automatically renew at the end of each billing period unless cancelled at least 30 days before renewal.

4.2. Subscription tiers (Basic, Pro, Business, Enterprise) include the features and limits specified on our pricing page at the time of purchase.

4.3. Upgrades take effect immediately. Downgrades take effect at the start of the next billing period.

4.4. Device limits, data retention periods, and support levels vary by subscription tier as detailed in our service specifications.

5. Delivery and Acceptance

5.1. Platform access is provisioned within 24 hours of successful payment.

5.2. Custom frontend development timelines are specified in the project proposal, typically:

  • Basic tier: 2-3 weeks
  • Standard tier: 3-4 weeks
  • Premium tier: 4-6 weeks

5.3. Customer shall have 7 business days to review deliverables and request revisions. Acceptance is deemed if no feedback is received within this period.

6. Intellectual Property

6.1. The Cereb Platform, including all software, algorithms, and AI models, remains the exclusive property of Cereb Intelligence Limited.

6.2. Customer retains ownership of their data uploaded to or generated through the Platform.

6.3. Custom frontend designs and code developed specifically for Customer are licensed to Customer for use with the Cereb Platform upon full payment.

7. Warranty and Support

7.1. Cereb warrants that the Platform will perform substantially in accordance with its documentation.

7.2. Support levels and response times vary by subscription tier:

  • Basic: Email support, 48-hour response
  • Pro: Email support, 24-hour response
  • Business: Priority support, 8-hour response
  • Enterprise: Dedicated support, 4-hour response with SLA

8. Limitation of Liability

8.1. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CEREB'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY CUSTOMER IN THE 12 MONTHS PRECEDING THE CLAIM.

8.2. CEREB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

9. Termination

9.1. Either party may terminate for material breach if such breach is not cured within 30 days of written notice.

9.2. Upon termination, Customer's access to the Platform will cease, and Customer may request export of their data within 30 days.

9.3. Sections relating to intellectual property, limitation of liability, and governing law survive termination.

10. Governing Law

These Sales Terms and Conditions shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any disputes shall be subject to the exclusive jurisdiction of the courts of Hong Kong.
